Appointment of a JSW S.A. Management Board Member

Body of the Report:

The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW”) hereby reports that on 14 December 2022 the Company’s Supervisory Board adopted a resolution to appoint Mr. Wojciech Kałuża as of 15 December 2022 to the position of Vice-President of the Management Board for Development of the 11th term.

Mr. Wojciech Kałuża earned a master's degree from the Faculty of Law and Administration at the University of Warsaw. He is also a graduate of the Janusz Korczak Pedagogical University in Warsaw, where he earned a bachelor's degree in political science, and of Collegium Humanum - Warsaw Management University, where he completed Executive Master of Business Administration studies. From 2018 to 2022, he was Deputy Marshal of the Silesian Voivodeship, overseeing the following Departments: Regional Development and Transformation, Economy and International Cooperation, as well as Tourism and Sports. He has experience in both public and local government administration, as well as extensive managerial experience in commercial enterprises.

According to the submitted statement, Mr. Wojciech Kałuża does not conduct activity competitive to that of the Company, does not participate in any competing company as a partner in a civil law company or partnership or as a member of a corporate body of a capital company, and does not participate in another competing legal person as a member of its corporate body, and he is not entered in the Register of Insolvent Debtors kept pursuant to the provisions of the National Court Register Act and in the National Register of Indebted Persons kept pursuant to the Act of 6 December 2018 on the National Register of Indebted Persons.

Legal basis: § 5 Item 5 of the Regulation issued by the Finance Minister on 29 March 2018 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent.
